Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the OPE Power platform and related services (the “Service”) provided by OPE Power (“OPE Power,” “we,” “us,” or “our”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

1. The Service

OPE Power provides a hosted website and lead-management platform built for independent outdoor power equipment dealers. The Service includes dealer websites, a self-service portal for managing content and leads, lead capture and notifications, and related tools and integrations. We may add, change, or remove features over time to improve the Service.

2. Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, keep it up to date, and notify us promptly of any unauthorized use. You are responsible for the content you publish through the Service and for ensuring you have the rights to use it.

3. Subscriptions and Billing

The Service is offered on a subscription basis. Subscription fees, billing frequency (such as monthly or annual), and plan features are presented at the time of purchase. By subscribing, you authorize us and our payment processor (Stripe) to charge the applicable fees to your payment method on a recurring basis until you cancel.

Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You may cancel at any time through your account or by contacting support; cancellation takes effect at the end of the current billing period, and you will retain access until then.

Fees are generally non-refundable except where required by law. Contact support@opepower.com for questions about your subscription or billing.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful, fraudulent, or harmful purpose.
Publish content that is illegal, infringing, defamatory, or misleading.
Scrape, crawl, harvest, or use automated means to extract data from the Service without our written permission.
Share, sell, or transfer your account credentials, or allow others outside your business to access the Service under your account.
Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with their normal operation.
Upload malware or engage in any activity that could disrupt or degrade the Service.
Resell, sublicense, or misrepresent the Service without our written permission.
Send unsolicited or unlawful communications using the Service.

We may suspend or terminate accounts that violate these Terms.

5. Intellectual Property

The Service, including its software, design, and branding, is owned by OPE Power and its licensors and is protected by intellectual property laws. You retain ownership of the content you provide, and you grant us a limited license to host, display, and process that content as necessary to operate the Service.

6. Third-Party Services

The Service integrates with third-party providers (such as Stripe for payments, Resend for email, and hosting and AI providers). Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services we do not control.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law, OPE Power and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold OPE Power harmless from claims, damages, and expenses arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, though certain provisions (such as those on intellectual property, disclaimers, and liability) survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts. Before initiating any formal proceeding, you agree to contact us at support@opepower.com and give us thirty (30) days to attempt an informal resolution.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
